3. Intellectual Property

   a. All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets, relating to our services and any related documentation, remain the property of Motion Technology LLC.

   b. The Customer agrees not to reproduce, distribute, modify, or create derivative works of our services or any part thereof without the prior written consent of Motion Technology LLC.

4. Payments and Fees

   a. The Customer agrees to pay all fees and charges associated with the use of our services as outlined in our pricing and payment terms.

   b. In the event of late or non-payment, Motion Technology LLC reserves the right to suspend or terminate the provision of services.

   c. All fees and charges are exclusive of any applicable taxes, which shall be the responsibility of the Customer.

5. Confidentiality

   a. Both parties agree to keep any confidential information received during the course of the business relationship confidential and not to disclose it to third parties, except as required by law or with the other party's written consent.

6. Limitation of Liability

   a. Motion Technology LLC shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of our services.

   b. Motion Technology LLC's liability, if any, shall be limited to the amount paid by the Customer for the specific service giving rise to the claim.

7. Termination

   a. Either party may terminate this Agreement at any time with written notice to the other party.

   b. Upon termination, the Customer shall cease using the services, and any outstanding fees or charges shall become immediately due and payable.

8. Governing Law

   a. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.

   b. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

9. Miscellaneous
